1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and eTalk Hub Inc., a corporation registered in British Columbia, Canada (“eTalk Hub”, “Company”, “we”, “us”, “our”).
eTalk Hub provides a software-as-a-service education platform that enables tutoring businesses, educators, schools, and organizations to manage students, conduct online classes, process payments, and deliver educational services (the “Services”) through our websites, applications, and related technologies (the “Platform”).
By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Regulatory Framework
The Platform is operated from Canada and governed by:

• PIPEDA (Canada)
• British Columbia Personal Information Protection Act
• GDPR (where applicable)
• COPPA and FERPA (where educational use involves children or student records)

Depending on your use, eTalk Hub acts as a service provider / data processor or platform operator.

• 3. Definitions“Account” – a registered user profile.
• “User Content” – content submitted, uploaded, transmitted, or stored by users.
• “Services” – software tools, hosting, communications, and education-related functionality.
• “Platform” – eTalk Hub websites, apps, APIs, and infrastructure.
• “Instructor” – a user providing educational services.
• “Learner” – a user receiving educational services.
• “Administrator” – an organization managing users and data.

4. Eligibility
You must:

• Be legally capable of forming a binding contract in your jurisdiction.
• Use the Platform only in compliance with applicable law.

Minors may use the Platform only with verified parental, school, or organizational authorization.

5. Account RegistrationYou agree to:

• Provide accurate and current information
• Maintain account security
• Be responsible for all activity under your Account
• Not share login credentials
• Promptly update information when required

We reserve the right to suspend or terminate accounts at our discretion.

6. Scope of Services
The Platform enables:

• Online classes and communications
• Student and tutor management
• Content sharing
• Payment processing
• Education operations software

We may modify, suspend, or discontinue any part of the Services at any time.

7. Educational Disclaimer
eTalk Hub does not provide instruction itself unless explicitly stated.
We do not verify the qualifications, statements, or conduct of instructors or learners.
All educational interactions are solely between users.

8. User Content
You retain ownership of your User Content.
By using the Platform, you grant eTalk Hub a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, display, and process User Content solely to operate, improve, and secure the Services.
You are solely responsible for your Content.

9. Prohibited Conduct
You may not:

• Violate laws or regulations
• Infringe intellectual property
• Harass, exploit, abuse, or harm others
• Upload malware or malicious code
• Attempt unauthorized access
• Scrape, reverse engineer, or disrupt the Platform
• Misrepresent identity
• Use the Platform for fraudulent or harmful purposes

We may remove content and suspend access at any time.

10. Payments
Where enabled, payments are processed through third-party payment providers.
eTalk Hub does not store full payment card details.
You agree:

• To pay applicable fees
• That fees are non-refundable unless explicitly stated
• That transaction failures may occur outside our control

Taxes are your responsibility unless legally required to be collected by us.

11. Third-Party Services
The Platform may integrate with third-party services (e.g., video, payments, analytics, YouTube APIs).
Their terms and policies govern their services.
We are not responsible for third-party systems.

12. Privacy and Confidentiality
Your use is governed by our Privacy Policy.
You agree to maintain the confidentiality of any non-public information accessed through the Platform.

13. Intellectual Property
All Platform technology, software, designs, trademarks, and systems are the exclusive property of eTalk Hub Inc. or its licensors.
You receive a limited, non-exclusive, revocable right to use the Platform.
No ownership rights are transferred.

14. Suspension and Termination
We may suspend or terminate access:

• For violation of these Terms
• For legal or security reasons
• To prevent harm or misuse
• At our discretion

Upon termination, your right to use the Platform ceases.

15. Disclaimer of Warranties
The Platform is provided “as is” and “as available.”
We make no warranties regarding:

• Uptime
• Accuracy
• Educational outcomes
• Fitness for a particular purpose

Use is at your own risk.

16. Limitation of Liability
To the maximum extent permitted by law, eTalk Hub shall not be liable for:

• Indirect or consequential damages
• Lost revenue or data
• Educational outcomes
• Third-party conduct
• Security breaches beyond reasonable control

Our total liability shall not exceed the fees paid to us in the preceding 12 months.

17. Indemnification
You agree to indemnify and hold harmless eTalk Hub Inc., its officers, employees, and partners from claims arising from:

• Your use of the Platform
• Your content
• Your violation of law
• Your breach of these Terms

18. International Use
You are responsible for compliance with local laws.
We make no representation that the Platform is appropriate in all jurisdictions.

19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Canada and the Province of British Columbia.
Any dispute shall first be attempted to be resolved informally.
If unresolved, disputes shall be finally settled by binding arbitration in Vancouver, British Columbia, under the Arbitration Act (BC).
Courts in Vancouver have exclusive jurisdiction for injunctive relief.

20. Changes
We may update these Terms at any time.
Continued use constitutes acceptance.
